1. Contract Formation
By accessing or using the Sykmont website located at https://sykmont.myshopify.com, you agree to be bound by these Terms of Service and all terms incorporated by reference. If you do not agree to these terms, you may not use our site or services. Your acceptance of these terms is confirmed by clicking “I agree” or by continuing to use our site.
2. Governing Law and Venue
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Alaska. Any disputes arising from these terms shall be resolved in the courts of Alaska.
3. Binding Individual Arbitration Clause
Any dispute or claim relating in any way to your use of our site or services will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration will be conducted by a single arbitrator under the American Arbitration Association's Consumer Arbitration Rules. The arbitration location shall be Anchorage, Alaska. You have the right to opt-out of this arbitration agreement within 30 days of first accepting these terms by contacting us at sykmont@outlook.com.
4. Class Action Waiver
You and Sykmont agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Notwithstanding the arbitration clause, nothing in these Terms shall waive any consumer's right to seek public injunctive relief under California law (per McGill v. Citibank, 2 Cal. 5th 945 (2017)).
5. Limitation of Liability
To the fullest extent permitted by law, Sykmont shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the site; (b) any unauthorized access to or use of our servers and/or any personal information stored therein. Our liability is limited to the amount you have paid us in the last 12 months preceding the event giving rise to the liability.
6. Intellectual Property
All content on the Sykmont website, including but not limited to text, graphics, logos, images, and software, is the property of Sykmont or its content suppliers and is protected by United States and international copyright laws. You may not use our trademarks or trade dress in connection with any product or service without our express written consent.
7. User Obligations
As a user of our site, you agree not to engage in any fraudulent activities, use any automated means to access our services, or resell our products without authorization. You must not misuse our site by knowingly introducing viruses, trojans, worms, or other material that is malicious or technologically harmful.
8. Disclaimer of Warranties
Our services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, unless such warranties are legally incapable of exclusion. We do not warrant that the site will be uninterrupted or error-free.
9. Dispute Resolution
Before initiating arbitration, you agree to attempt to resolve any dispute informally by contacting us at sykmont@outlook.com. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within this period, either party may commence arbitration.
10. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
11. Modifications of the Terms
We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms on this page and update the "Last Updated" date. Your continued use of our site following the posting of changes constitutes your acceptance of such changes.
12. Termination
We reserve the right to terminate your account and access to the site if we determine, in our sole discretion, that you have violated these Terms or any other policy of Sykmont.
